Jim D’Esposito

James J. D’Esposito has more than thirty years of experience in corporate, securities, and commercial transactions and mergers and acquisitions, with a particular emphasis on organizations engaged in the acquisition, financing, and operation of commercial and residential properties. Clients have included public and private companies, investment banking firms, and other financial institutions. Mr. D’Esposito served for five years as general counsel of a $100 million public real estate fund, has been a partner at two boutique law firms, and was an associate at Kaye Scholer LLP, a renowned international law firm. He is a graduate of St. John’s University School of Law, Class of 1979 and Duke University, Class of 1976, and is admitted to practice in the State of New York.

Martin Shaw

Martin Shaw has more than thirty years of experience in all facets of real estate law, including development, acquisitions, sales and financing. Mr. Shaw has extensive experience representing borrowers in real estate and asset based lending transactions, and has a strong background in negotiating, structuring and drafting the acquisition, development, construction, sale and leasing of all forms of real property. In addition, Mr. Shaw has extensive experience in drafting, filing and amending condominium and cooperative offering plans in New York State and with filings as required by the City of New York. In addition, Mr. Shaw’s practice has included the general representation of cooperative corporations and condominium associations and in all aspects of transactional work regarding individual condominium and cooperative units. Mr. Shaw also has extensive experience in negotiating, structuring and documenting various forms of corporate and commercial transactions, including formation and sales of limited liability companies and/or assets, and the financing thereof, and in negotiating and drafting shareholder and operating agreements. His practice also includes litigation at the trial and appellate levels, and he has a broad range of experience in New York State courts and alternate dispute resolution forums. He is a graduate of the University of New Hampshire School of Law, Class of 1978 and Columbia University, Class of 1973, and is admitted to practice in the State of New York and before the United States District Courts for the Eastern and Southern Districts of New York.

Allison Rosenberg

Allison Rosenberg is Of Counsel to Bleckner P.C. Allison is a real estate attorney with nearly two decades of real estate experience in various capacities, including at several large law firms such as Paul Hastings Janofsky & Walker LLP, Skadden Arps Slate Meagher & Flom LLP, Fried, Frank, Shriver & Jacobson LLP and as a Partner at Greenberg Traurig LLP. Ms. Rosenberg represents developers and real estate investors in acquisitions, dispositions, leasing and joint ventures in all forms of commercial, industrial and residential real estate, as well as developers and major investment banks, institutional lenders, borrowers and investors in negotiating and closing mortgage, mezzanine, preferred equity, construction, condominium conversion, hotel and subscription and warehouse financings. She also advises clients in the development, acquisition, financing and operation of hotel, resort, shopping centers and mixed use properties throughout the United States, Asia and the Caribbean; the structuring of domestic and foreign equity investments; and the negotiation of management, franchise and hotel operating agreements. Allison has also negotiated a number of agreements for the sale of development rights and associated zoning lot development agreements. Ms. Rosenberg received a dual JD/LLM degree in International and Comparative Law from Duke University School of Law in 1998 and a dual BA/MA degree in Linguistics from Northwestern University in 1995, and is admitted to practice in the State of New York.
